Intimation Approval of Scheme

Pursuant to Regulations 30 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended from time to time and further to our various communication in this regard, we wish to inform you that the Hon’ble National Company Law Tribunal, Mumbai Bench (“Hon’ble NCLT”) has today, i.e. August 29, 2024 sanctioned the Scheme of Merger by Absorption of Jayant Finvest Limited (“Transferor Company”) with Jayant Agro-Organics Limited (“Transferee Company”) and their respective shareholders and creditor (“the Scheme”). The certified copy of the Order of Hon’ble NCLT is awaited. The Scheme will come into effect upon filing of the certified copy of the Order with the Registrar of Companies, Ministry of Corporate Affairs, Government of India.
